1. AGREEMENT TO THE TERMS AND REVISIONS

These Terms and Conditions constitute a legally binding agreement made between you and Teaching Online 123 ("TO123," "We," or "Us"). By using the site and/or purchasing any course or service, you agree to be bound by these Terms and Conditions. If you do not agree to all of these Terms, do not use this site or purchase our services. By using the Site or Services, you represent and warrant that you are at least 18 years of age or older. If you are under the age of 18, you may not use this Site or purchase our Services.
2. AGE RESTRICTION: USERS MUST BE 18 OR OLDER
Users must be 18 years or older. By using this Site or purchasing our Services, you represent and warrant that you are at least 18 years of age.
3. INTELLECTUAL PROPERTY AND LIMITED LICENSE
A. Ownership of TO123 Content
All content provided on the Site and within the Programs, including but not limited to text, videos, templates, and methodologies (TO123 Content), is the proprietary property of TO123 and is protected by copyright and other intellectual property laws.
B. Limited License Grant
Upon the purchase and payment of a Program, We grant you a limited, non-exclusive, non-transferable, non-sub-licensable, revocable license to access and use the TO123 Content solely for your own personal, non-commercial, educational use.
C. Prohibited Conduct (IP Violation)
You expressly agree not to: Share your login credentials, resell or republish the TO123 Content, or use the TO123 Content to develop or teach a similar course or program.
D. Restrictions on Artificial Intelligence
You are strictly prohibited from using any TO123 Content, in whole or in part, in connection with any Artificial Intelligence (AI), machine learning, or similar technology. This includes, but is not limited to, uploading any proprietary document into an AI model to train, fine-tune, or populate a competing service. Violation of this Intellectual Property clause is a material breach of this Agreement and will result in immediate termination of your access to the Services without refund.
4. USER-GENERATED CONTENT (UGC) AND COMMUNITY STANDARDS
A. License Granted by You
By posting any comments, files, or materials (“User-Generated Content” or “UGC”) in communities provided by TO123, you automatically grant to TO123 a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, copy, reproduce, display, and distribute that UGC for any purpose.
B. Community Standards
You agree that your UGC will not be illegal, harassing, discriminatory, or spam. You may not present content generated by AI as your own original work or advice within the community without clearly disclosing its AI source. We reserve the right to remove any UGC and terminate your access if you violate these standards.
5. SMS AND ELECTRONIC COMMUNICATIONS
A. Consent to SMS Messaging
By providing your mobile phone number and opting in to our messaging services, you provide your express written consent to receive recurring automated promotional and personalized marketing text messages (e.g., SMS and MMS) from Dr. Echo & Team at Teaching Online 123. This includes, but is not limited to, course updates, booking notifications, and promotional offers. Consent is not a condition of any purchase.
B. Messaging Frequency and Charges
Message frequency varies. Message and data rates may apply from your mobile carrier. Carriers are not liable for delayed or undelivered messages.
C. Opt-Out and Support
You may opt out of SMS communications at any time by replying "STOP" to any message We send. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time. For help, you can reply "HELP" for more assistance or contact Us at [email protected] or call 731-318-0428.
D. Privacy Policy Reference
All data collected through SMS and electronic communications is governed by our Privacy Policy, which can be found at https://teachingonline123.com/privacy. We do not share your SMS opt-in consent or mobile data with third parties for their own marketing purposes.
6. PAYMENT, FEES, AND REFUND POLICY
A. Fees And Payment
You agree to pay all fees for Programs and Services you purchase. If payment is declined, We reserve the right to immediately suspend or terminate your access.
B. Installment Payments And Default
If you choose a payment plan and fail to make an installment payment on time, your access will be immediately terminated, and you will remain liable for any outstanding balance due.
C. Refund Policy
Refund policies vary by Program type: Digital Programs (Courses & Memberships): All purchases of digital TO123 Content are final and non-refundable after 14 days from the date of purchase. Requests for a refund must be made in writing to [email protected].
Coaching and Time-Based Programs: Due to the time, resources, and individualized energy invested by the coach/instructor, all fees paid for individualized coaching, group coaching sessions, live events, or any other time-based Service are strictly non-refundable.
7. DISCLAIMER OF WARRANTIES
A. "As Is" And No Guarantee
The Site and TO123 Content are provided on an "AS IS" and "AS AVAILABLE" basis. We make NO WARRANTIES, EXPRESS OR IMPLIED, regarding the results that may be obtained from the use of the Services.
B. Technology And Access
Disclaimer We are not responsible for any delay, failure, or interruption of the Services due to technical issues, including downtime or failure of third-party platforms or your own equipment.
8. LIMITATION OF LIABILITY
A. Limitation of Damages
To the fullest extent permitted by applicable law, in no event shall TO123, its owners, employees, or affiliates be liable to you or any third party for any indirect, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services.
B. Total Liability Cap
To the maximum extent permitted by applicable law, our total liability to you for any damages arising out of or related to this Agreement shall be limited to the greater of (A) the fees paid by you for the specific Program giving rise to the claim, or (B) $100.00 USD.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless TO123 and its owners, employees, and agents from and against any and all claims, liabilities, damages, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.
10. GOVERNING LAW AND DISPUTE RESOLUTION
A. Governing Law And Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee. You hereby consent to the exclusive jurisdiction and venue of the courts located in Gibson County, Tennessee.
B. Binding Arbitration
Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in Medina, Gibson County, Tennessee, in accordance with the rules of the American Arbitration Association (AAA).
C. Waiver of Class Action
You and TO123 agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
11. MISCELLANEOUS PROVISIONS
A. Severability
If any part of these Terms is deemed unlawful, void, or unenforceable, that part shall be severable from these Terms, and the remaining provisions will remain in full force and effect.
B. Entire Agreement
This Agreement, along with our Privacy Policy, constitutes the entire agreement between you and TO123 regarding the use of the Services, superseding any prior agreements or understandings.
